SimpleBot Terms and Conditions

These SimpleBot Terms and Conditions (“Terms”) are an agreement between Entheo AI Inc. (“Entheo AI,” “we,” “us,” or “our”) and the organization accepting these Terms (“Customer,” “you,” or “your”). The individual accepting these Terms represents that they are authorized to bind the Customer.
1. Eligibility and Accounts
SimpleBot is intended primarily for organizational use. You must provide accurate account information and maintain the confidentiality of credentials, API keys, MCP credentials, access tokens, and administrative access.
You are responsible for activity conducted through your account, except to the extent caused by Entheo AI’s breach of its applicable security obligations. You must promptly report unauthorized access, compromise, or misuse to support@entheo.ai.
2. Services
SimpleBot may allow Customer to:
- create, configure, train, and manage AI agents;
- upload documents, websites, prompts, and knowledge-base materials;
- connect MCP servers, APIs, and other tools;
- embed agents on Customer websites and applications;
- process chatbot conversations;
- connect Calendly or other appointment-booking services;
- permit agents to schedule appointments or perform other configured actions; and
- review usage, security, and performance information.
Features may change, be suspended, or be discontinued. The account is currently free unless otherwise stated. Entheo AI may introduce paid features prospectively with notice and any required acceptance.
3. Customer Content
“Customer Content” means prompts, instructions, documents, data, websites, messages, configurations, knowledge bases, training materials, integrations, and other materials submitted or connected by Customer.
Customer retains its rights in Customer Content. Customer grants Entheo AI a limited, worldwide, nonexclusive license to host, copy, transmit, process, display, modify, and otherwise use Customer Content solely as necessary to provide, secure, maintain, support, and improve SimpleBot, comply with law, prevent abuse, and enforce these Terms.
Unless separately agreed or authorized, Entheo AI will not use Customer Content to train a general-purpose model for unrelated customers.
Customer represents and warrants that:
- Customer has all rights, permissions, notices, and consents necessary for Customer Content and its processing;
- Customer Content does not violate law or third-party rights;
- Customer’s agent provides legally required disclosures;
- Customer is authorized to connect and use each MCP server, API, Calendly account, and other integration;
- Customer’s automated actions and appointment-booking workflows are lawful and authorized; and
- Customer will not submit information that SimpleBot is not designed or authorized to process.
4. Customer Responsibilities
Customer is responsible for:
- configuring, testing, and monitoring its agents;
- reviewing outputs before relying on or publishing them;
- identifying agents as artificial intelligence where required;
- providing privacy notices and obtaining legally required consent;
- maintaining human oversight and escalation procedures;
- securing embedded websites, accounts, credentials, and integrations;
- complying with applicable law in every jurisdiction where Customer operates or deploys an agent; and
- responding to requests from individuals whose information Customer controls.
Customer must not use SimpleBot as the sole basis for decisions concerning a person’s legal rights, employment, housing, credit, insurance, health care, education, immigration status, criminal justice, or access to essential services unless Customer has implemented all legally required safeguards and obtained Entheo AI’s prior written approval where required.
5. Artificial-Intelligence Outputs
AI-generated outputs are probabilistic and may be inaccurate, incomplete, offensive, misleading, or outdated. Entheo AI does not guarantee that outputs are accurate, lawful, noninfringing, or suitable for a particular purpose.
Customer must independently evaluate outputs and remains responsible for decisions, communications, transactions, recommendations, and actions taken through its agents.
SimpleBot is not a substitute for professional advice or emergency services.
6. MCP, Tools, and Integrations
Customer is responsible for selecting, authorizing, configuring, and monitoring MCP servers, APIs, Calendly, and other integrations.
Customer authorizes Entheo AI to transmit information and instructions to enabled integrations as necessary to perform configured functions. Customer must not connect a tool that could:
- provide unauthorized access;
- disclose information unlawfully;
- initiate unauthorized financial or legal obligations;
- make unsafe or uncontrolled changes;
- send unlawful communications;
- create material risk of harm; or
- process regulated information without appropriate safeguards.
Third-party integrations may have separate terms, fees, limits, outages, and privacy practices. Entheo AI is not responsible for third-party services it does not control.
7. Embedded Agents and Appointment Booking
Customer is responsible for installing and operating embedded agents and for ensuring that:
- the agent’s identity and capabilities are accurately disclosed;
- required privacy notices and consent mechanisms are provided;
- users can obtain human assistance where required;
- appointment availability and booking rules are accurate;
- the agent does not make unauthorized bookings, cancellations, or changes;
- communications comply with applicable telemarketing, messaging, and anti-spam laws; and
- Calendly and other connected services are configured lawfully.
Customer must not represent an agent as a human or conceal material limitations where disclosure is required.
8. Prohibited Uses and Abuse
Customer must not, and must not permit others to, use SimpleBot to:
- violate any law, regulation, court order, sanction, or governmental requirement;
- infringe intellectual-property, privacy, publicity, confidentiality, or other rights;
- collect, infer, or process sensitive information unlawfully;
- impersonate a person or organization, commit fraud, or facilitate deception;
- generate malware, ransomware, phishing, credential theft, or cyber abuse;
- facilitate violence, terrorism, trafficking, exploitation, or serious wrongdoing;
- sexually exploit or endanger minors;
- harass, stalk, threaten, defame, or unlawfully target individuals;
- conduct discriminatory profiling or unlawful automated decision-making;
- send spam, robocalls, unlawful solicitations, or deceptive marketing;
- make unauthorized appointments, purchases, bookings, or transactions;
- bypass rate limits, authentication, security controls, or access restrictions;
- probe, scan, reverse engineer, scrape, or disrupt SimpleBot;
- upload malicious code or attempt to introduce vulnerabilities;
- expose private, confidential, or regulated information without authorization;
- use SimpleBot to create competing infrastructure through unauthorized copying or extraction;
- use a connected tool to take uncontrolled or materially harmful actions; or
- encourage, assist, or facilitate another person’s prohibited conduct.
Customer must promptly investigate and stop misuse involving its account and cooperate with reasonable abuse or security investigations.
9. Monitoring and Enforcement
Entheo AI may use automated and human systems to detect security threats, fraud, policy violations, and abuse. Entheo AI may preserve or disclose information when reasonably necessary to comply with law, investigate abuse, enforce these Terms, or protect rights and safety.
Entheo AI may remove content, disable integrations, limit functionality, throttle usage, suspend accounts, or terminate access when reasonably necessary to protect users, the public, Entheo AI, or the Services, or to comply with law. Entheo AI is not obligated to monitor all content or activity.
10. Intellectual Property
Entheo AI and its licensors own SimpleBot, including its software, models, interfaces, documentation, trademarks, workflows, and underlying technology.
Subject to these Terms, Customer may use outputs generated for Customer’s account. Similar outputs may be generated for others, and AI outputs may not be protectable. Entheo AI does not guarantee exclusivity or intellectual-property protection for outputs.
Customer grants Entheo AI permission to use suggestions and feedback concerning SimpleBot without compensation or restriction.
11. Fees and Payment
SimpleBot is currently provided without charge unless an applicable order, subscription, or pricing page states otherwise. Entheo AI may introduce paid features prospectively with notice and any required acceptance.
For paid Services:
- fees, taxes, overages, and renewal charges are due as stated in the applicable order or pricing page;
- subscriptions may renew automatically if disclosed at purchase;
- fees are nonrefundable unless required by law or stated otherwise;
- cancellation generally applies at the end of the current billing period; and
- unpaid amounts may result in suspension.
12. Confidentiality
Each party may receive nonpublic information of the other party (“Confidential Information”). The receiving party will use reasonable care to protect Confidential Information and use it only to perform or exercise rights under these Terms.
Confidential Information does not include information that is public without breach, previously known without restriction, independently developed, or lawfully received from a third party. A party may disclose Confidential Information when legally required, after providing notice where legally permitted.
13. Privacy and Data Processing
Use of personal information is governed by the SimpleBot Privacy Policy. Depending on the parties, jurisdictions, and data flows, the parties may need a Data Processing Addendum, Standard Contractual Clauses, Business Associate Agreement, or other privacy agreement. No such agreement is created by these Terms unless separately executed.
Customer remains responsible for its own privacy, confidentiality, professional, regulatory, accessibility, marketing, and consumer-protection obligations.
14. Third-Party Providers
Entheo AI may use Clerk, Vercel, Amazon Web Services, MongoDB Atlas, Pinecone, OpenAI, Anthropic, Stripe, Pusher, Twilio SendGrid, Klaviyo, Sentry, PostHog, Firecrawl, Doppler, Calendly, GitHub, Atlassian, and Google Workspace for authentication, hosting, storage, retrieval, artificial-intelligence services, payments, communications, monitoring, analytics, development, scheduling, and operations.
Providers may be added, removed, or changed as SimpleBot evolves. Their processing is subject to applicable contractual, privacy, and security requirements.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLEBOT IS PROVIDED “AS IS” AND “AS AVAILABLE.” ENTHEO AI DISCLAIMS WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NONINFRINGEMENT, QUIET ENJOYMENT, UNINTERRUPTED AVAILABILITY, AND ERROR-FREE OPERATION.
ENTHEO AI DOES NOT WARRANT THAT SIMPLEBOT, ANY AGENT, OUTPUT, INTEGRATION, MCP SERVER, APPOINTMENT, OR TRANSACTION WILL BE SECURE, ACCURATE, AVAILABLE, LAWFUL, OR SUITABLE FOR CUSTOMER’S PURPOSE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTHEO AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE, GOODWILL, BUSINESS, OR USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTHEO AI’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO SIMPLEBOT OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).
These limitations do not apply to liability that cannot legally be limited.
17. Indemnification
To the maximum extent permitted by law, Customer will defend, indemnify, and hold harmless Entheo AI and its officers, directors, employees, contractors, and agents from third-party claims, damages, losses, liabilities, costs, and expenses arising from:
- Customer Content;
- Customer’s agents, websites, integrations, MCP servers, or business practices;
- Customer’s unlawful use or disclosure of information;
- Customer’s violation of these Terms or applicable law;
- Customer’s infringement or misappropriation of third-party rights;
- automated bookings, communications, transactions, or decisions made through Customer’s deployment; or
- Customer personnel’s or end users’ conduct.
18. Insurance
Customer is responsible for maintaining insurance appropriate to its operations, services, personnel, premises, data, and legal obligations.
19. Suspension and Termination
Customer may stop using SimpleBot at any time. Entheo AI may suspend or terminate access for unauthorized access, security concerns, legal requirements, misuse, nonpayment, operational reasons, or violation of these Terms.
Upon termination:
- Customer’s right to use SimpleBot ends;
- Customer must disable embedded agents and integrations;
- Customer must stop using SimpleBot outputs and access credentials where required;
- accrued payment, confidentiality, indemnification, limitation-of-liability, dispute, and other provisions that by their nature should survive remain effective; and
- deletion and retention are governed by the Privacy Policy and applicable agreement.
20. Governing Law and Disputes
These Terms are governed by California law, excluding conflict-of-law rules.
Subject to applicable law, disputes will be resolved through individual arbitration administered by JAMS under applicable JAMS rules in or near San Francisco County, California, unless another forum is required by law or agreed by the parties.
To the maximum extent permitted by law, disputes must be brought individually, and neither party may participate in a class, collective, or representative action. Nothing in this section prevents a party from seeking temporary or emergency injunctive relief where legally available.
21. International Use and Export Compliance
Customer is responsible for ensuring that its use and deployment of SimpleBot comply with the laws of every jurisdiction in which Customer operates or makes an agent available, including privacy, consumer-protection, accessibility, telecommunications, marketing, AI-governance, data-localization, export-control, and sanctions laws.
Customer may not use or export SimpleBot in violation of applicable United States sanctions or export-control laws.
22. Changes
Entheo AI may modify these Terms or the Services by posting a revised version. Material changes will be communicated as required by applicable law. Continued use after the effective date constitutes acceptance to the extent permitted by law.

24. General Terms
These Terms, the SimpleBot Privacy Policy, applicable order forms, and any separately executed privacy or data-processing agreement constitute the agreement concerning SimpleBot.
Customer may not assign these Terms without written consent. Entheo AI may assign these Terms in connection with a merger, acquisition, reorganization, financing, bankruptcy, or sale of assets.
If a provision is unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, fiduciary relationship, or joint venture.
